ACTIF CONSULTING – TERMS OF SERVICE
Effective Date: June 1, 2024

1. Acceptance of Terms

  • By accessing https://actif-consulting.com/ (“Platform”), you agree to these binding
  • Terms of Service (“Terms”) with ACTIF CONSULTING (“we”, “us”). These Terms govern all
    use of our consultant-client matching services.

2. Strict Communication Protocol
2.1 Approved Channels
Until a binding contract is executed through our Platform:

  • All communications must occur exclusively via the Platform’s messaging system
  • Sharing contact information (email/phone/WhatsApp/SMS) is expressly
    prohibited

2.2 Zero-Tolerance Circumvention Policy
Violations include:

  •  Direct contact attempts outside our Platform
  •  Payment arrangements not processed through our system
  • Solicitation of matched partners for oA-platform engagements

3. Consequences of Violation
3.1 Financial Penalties

  • Immediate payment obligation of the greater of:
    (a) 30% of estimated project value, or
    (b) $5,000 USD per violation
  • All Platform fees become immediately due

3.2 Legal Remedies

  •  Account termination without refund
  • Disclosure of violator information to aAected parties
  • Pursuit of legal action in Delaware courts

4. Delaware Governing Law
4.1 Jurisdiction
These Terms are governed by Delaware law. Any disputes shall be resolved in:

  •  The Court of Chancery of Delaware, or
  • The U.S. District Court for the District of Delaware

4.2 Class Action Waiver
All claims must be brought individually, not as class actions.

5. General Provisions

  • Entire Agreement: These Terms supersede all prior agreements
  • Severability: If any provision is invalid, the remainder remains enforceable
  • Amendments: We may modify these Terms with 30 days’ notice
